Stellar BankSync Pricing Terms v1.0

These Pricing Terms constitute a supplement to the General Terms and Conditions and should be read in conjunction with them. All definitions used in these Pricing Terms shall have the same meaning as set out in the General Terms and Conditions, unless explicitly stated otherwise.

1. Definitions

“Matched Transaction”

A bank transaction that is automatically matched (reconciled) via the Service, determined based on the data recorded and processed by the Service.

2. Fee per Bank Account

2.1 Monthly fee per Bank Account

For each active Bank Account, a monthly fee is charged according to the following tiered structure:

  • 1st Bank Account: €12.50 per month
  • 2nd Bank Account: €10.00 per month
  • 3rd to 5th Bank Account: €8.50 per month per Bank Account
  • 6th to 10th Bank Account: €7.00 per month per Bank Account
  • 11th to 25th Bank Account: €6.00 per month per Bank Account
  • 26th to 50th Bank Account: €5.50 per month per Bank Account
  • 51st to 100th Bank Account: €5.00 per month per Bank Account
  • 101st to 250th Bank Account: €4.50 per month per Bank Account
  • 251st to 500th Bank Account: €4.00 per month per Bank Account
  • 501st to 1000th Bank Account: €3.50 per month per Bank Account
  • Above 1000 Bank Accounts: €3.00 per month per Bank Account

2.2 Full month charged

The fee per Bank Account is charged per calendar month. If a Bank Account is authorized or terminated during an ongoing month, the full monthly fee will be charged for that month.

3. Fee per transaction

3.1 Applicability

For transactions that qualify as Matched Transactions (reconciled) via the Service, a fee per transaction is charged. No additional costs are charged for transactions that are not automatically Matched.

3.2 Monthly tiering

The fee per transaction is calculated per calendar month based on the total number of Matched Transactions:

  • First 100 transactions: €0.35 per transaction
  • Transactions 101 to 250: €0.33 per transaction
  • Transactions 251 to 500: €0.31 per transaction
  • Transactions 501 to 1000: €0.29 per transaction
  • Transactions above 1000: €0.27 per transaction

3.3 Determination of transactions

The number of Matched Transactions is determined based on the data recorded and processed by the Service.

4. Additional fees

4.1 Manipulation or adjustment of processing

If the Customer makes changes to the processing, configuration or interpretation of transactions (including but not limited to adjustments in yExports, task setup or similar logic), as a result of which the determination of Matched Transactions can no longer be carried out correctly, Stellar is entitled to charge the fee per transaction as if all relevant transactions had been processed as Matched Transactions. This provision applies from the moment such change has taken place and remains in force until it is established that the situation has been resolved.

4.2 No provision of feedback

Manually adjusted transactions are included in a daily export for the purpose of improving the Product. If the Customer does not wish to provide transaction feedback necessary for improving automatic matching, an additional fee of €0.02 per transaction will be charged on all transactions.

5. Setup and implementation

5.1 Setup by Stellar

If the Customer chooses to have the configuration of the Service carried out by Stellar, a one-time fee of €350.00 will be charged. For the performance of these activities, the Customer must grant Stellar access to the relevant systems, including but not limited to the Yardi live database, with sufficient rights (including administrative rights) to perform the configuration. Stellar shall use this access carefully and properly.

5.2 Setup by Customer

The Customer may also choose to perform the configuration of the Service themselves. In that case, Stellar will provide the necessary configuration files. If the Customer requires support in carrying out the configuration, such support will be provided at a rate of €75.00 per hour.

6. Support

6.1 Support services

Stellar provides support regarding the use and operation of the Service at a rate of €75.00 per hour.

6.2 Exception in case of errors

If support is required as a result of an error or defect in the Service attributable to Stellar, no costs will be charged.

7. Invoicing and payment

7.1 Invoicing

Stellar invoices the fees in principle on a monthly basis. Stellar reserves the right, based on the amount of the invoice or in consultation with the Customer, to switch to quarterly invoicing. Once an invoicing frequency has been established, it will not be unilaterally changed by Stellar.

7.2 Payment method

Payment shall be made by bank transfer, unless agreed otherwise. Stellar reserves the right to offer additional payment methods in the future, including direct debit.

7.3 Alternative payment methods

Stellar reserves the right to make additional payment methods, including direct debit, mandatory. If Stellar offers direct debit as a payment method, the Customer is expected to cooperate. If the Customer does not make use of this, Stellar is entitled to charge an administrative fee of €15.00 per invoice as compensation for the additional administrative burden.

8. Late payment

8.1 Suspension of the Service

If the Customer fails to pay an invoice on time, Stellar reserves the right to suspend the Service in whole or in part until full payment has been made.

9. Deviating pricing arrangements

9.1 Custom arrangements

Stellar reserves the right to make deviating pricing arrangements with individual customers, including but not limited to volume discounts, custom pricing or other commercial arrangements. In the event of such arrangements, the individually agreed terms shall prevail over these Pricing Terms.

9.2 Transparency of custom arrangements

Agreed custom arrangements will be made available in the Portal for inspection by the Customer.

10. Changes to fees

Stellar reserves the right to amend the provisions and/or fees included in these Pricing Terms from time to time. Amended fees shall take effect in accordance with the provisions regarding amendments as set out in the Product Terms.
